AFFILIATE AGREEMENT

PLEASE READ THIS AGREEMENT IN ITS ENTIRETY.

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND COLLAB CUSTOMS LLC.
BY USING THE PROVIDED URL, YOU AGREE TO ALL TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT.

1. Overview

This Agreement outlines the terms and conditions for participating in Collab Customs LLC’s Affiliate Program. The goal of this Agreement is to facilitate HTML linking between your website and the Collab Customs LLC app. In this Agreement, "we," "us," and "our" refer to Collab Customs LLC, and "you," "your," and "yours" refer to the affiliate.

2. Affiliate Obligations

2.1. Enrollment
To join our Affiliate Program, you must complete and submit the online application. We reserve the right to review and potentially reject or cancel your application at our discretion, particularly if your site is deemed unsuitable, including but not limited to:

Promoting sexually explicit materials
Promoting violence or discrimination
Promoting illegal activities
Infringing on intellectual property rights
Resembling our website or misleading users into thinking you are Collab Customs LLC
Containing harmful, defamatory, or otherwise objectionable content
Including software that diverts commissions from other affiliates

2.2. Site Maintenance
You are responsible for maintaining and updating your site. We may monitor your site to ensure it complies with our guidelines and make recommendations as needed.

2.3. Intellectual Property
You must have permission to use any copyrighted material on your site. We are not responsible for any legal issues related to the use of third-party intellectual property.

2.4. Logo Usage
The Collab Customs LLC logo cannot be altered or used in a way that misrepresents your affiliation with us.

3. Collab Customs LLC Rights and Obligations

3.1. Monitoring
We reserve the right to monitor your site to ensure compliance with this Agreement.

3.2. Termination
We can terminate this Agreement immediately without notice if you commit fraud or abuse the program. No commissions will be paid for fraudulent activities.

3.3. Agreement Duration
This Agreement begins upon your use of the provided URL and continues until terminated.

4. Termination

Either party may terminate this Agreement at any time with written notice. Termination will occur immediately upon breach of any terms of this Agreement.

5. Modification

We may modify this Agreement at our discretion. Any changes will be communicated via email or through the affiliate platform. Continued participation implies acceptance of the modified terms.

6. Commissions

6.1 Payouts

Commissions are paid out monthly via PayPal to the address you provide. Our program offers a 5% commission based on the base product price sold in that month. The commission is calculated based on the base price of the product orders that are paid for and shipped within that calendar month. If an order is placed but not paid for in that calendar month, the commission will be paid out in the following month. If a customer has a discount on their shop, the commission is paid out on the discounted product price, not the standard base product price. In the event that an order is cancelled, returned, or needs to be refunded, we will deduct the relevant amount from your commissions. If the deduction needs to occur on a product from a previous months commission already paid out, we will deduct it from the next commission payout.

6.2 Period for Commission

The affiliate period of each referred customer last 12 months, and starts when they make their first sale. Referring a prospective customer who previously was or currently is a Collab Customs user does not qualify for commission.

6.3 Sample Orders

We do not have a samples order feature built into the app at the moment, we utilize a separate feature from our app, which does not allow us to track the affiliate link for sample purchases. Therefore, we do not pay commission on sample orders.

6.4 Taxes

We have customers and partners all over the globe, all tax-related reporting is your responsibility. If you are operating outside of the US, it is your responsibility to notify Collab Customs so that we can ensure we are staying compliant with current US tax codes.

7. Promotion Restrictions

7.1. Advertising
Prohibited forms of advertising include spamming, unsolicited commercial email, and deceptive practices. Clear representation of your site as independent from Collab Customs LLC is required.

7.2. Pay-Per-Click Campaigns
Bidding on keywords related to Collab Customs LLC or its variations is prohibited unless traffic is redirected through your own site first.

7.3. Interstitials and Parasiteware
Using deceptive pop-ups, toolbars, or other intrusive methods to gain commissions is prohibited.

7.4. Self Affiliation
Self-referrals for commissions are not allowed.

8. Grant of Licenses

8.1. Use of Materials
We grant you a non-exclusive, revocable right to use our logos and trademarks in accordance with this Agreement. All uses must benefit Collab Customs LLC.

8.2. Proprietary Rights
Both parties retain ownership of their respective trademarks and proprietary materials. Unauthorized use is prohibited.

9. Disclaimer

Collab Customs LLC makes no warranties regarding the service, and we are not liable for any interruptions or errors in our website operation.

10. Representations and Warranties

You warrant that you have the authority to enter into this Agreement and perform your obligations and that you have no conflicting agreements.

11. Limitations of Liability

Our liability is limited to the total commission fees paid to you, excluding any indirect or consequential damages.

12. Indemnification

You agree to indemnify Collab Customs LLC against any claims arising from your use of our trademarks, misrepresentations, or content on your site.

13. Confidentiality

Confidential information shared during the Agreement must be kept confidential and used only with express permission.

14. Miscellaneous

14.1. Independent Contractor
You are an independent contractor, not an employee or partner.

14.2. Assignment
This Agreement may not be assigned without mutual written consent.

14.3. Governing Law
This Agreement is governed by the laws of Louisiana.

14.4. Amendments
Any amendments must be in writing and signed by both parties.

14.5. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.

14.6. Severability
If any provision is found invalid, the remaining provisions will remain in effect.
